We are looking for an experienced and dynamic paralegal with expertise in corporate governance/corporate secretarial practices to join the Corporate Governance Americas team.

The Paralegal - Assistant Corporate Secretary provides corporate secretarial and corporate governance support for the North American subsidiaries of the Swiss Re Group.
You play a key role in organizing and documenting board and committee meetings, as well as for actions taken outside of formal meetings.
This role also includes managing the formation and dissolution of corporations and other business organizations.
Additional key responsibilities include:
Organize board and committee meetings, including advance communications, preparing, reviewing and posting of materials in meetings portal, taking notes and drafting minutes
Maintain corporate governance records (electronic and paper, including minute books) and legal entity information in global legal entity management database
Complete, transmit and maintain records of regulatory filings related to insurance licensing and corporate registrations and maintain corporate governance information in regulatory portals
Respond to inquiries and requests for legal entity data and documentation from internal clients, auditors and regulators
About You
Your exceptional organizational skills, close attention to detail and ability to manage a complex workload help you succeed in this role! You can work independently and as a contributing team member with minimum supervision and are keen to work both proactively and collaboratively to achieve team objectives.
Additional requirements:
3+ years corporate paralegal experience in a major law firm or corporate legal department, with knowledge and understanding of corporate secretarial and governance practices and requirements
Experience in the insurance/financial services industry is a plus
High degree of integrity and discretion and able to handle confidential/sensitive information
Demonstrates accountability and are wholly reliable and responsible, exercising good judgment and recognize when to ask for help or raise issues
Proficient in MS Outlook, Word, Excel and PowerPoint; experience with entity management databases and board portals a plus.
Enthusiastic, high energy team player with a desire to learn!

For Armonk, NY the estimated base salary range for this position is $84,000 to $126,000.
The specific salary offered for this or any given role will take into account a number of factors including but not limited to job location, scope of role, qualifications, complexity/specialization/scarcity of talent, experience, education, and employer budget.
